These Site Terms ("Terms") govern your access to and use of ourvibeshift.com (the "Site") and your registration for and attendance at the Vibe Shift 2026 conference (the "Event"), both operated by Learning Innovation Systems LLC, 20409 Yorba Linda Blvd, Suite K2 225, Yorba Linda, California 92886, United States of America ("we," "us," or "our"). By accessing the Site or registering for the Event, you agree to these Terms. If you do not agree, please do not use the Site or register for the Event.

These Terms work alongside our Privacy Policy and our Cookie Policy, which are incorporated here by reference.

  1. Eligibility & Account Use

    You must be at least 18 years old (or the legal age of majority in your jurisdiction) to register for the Event or transact on the Site. If you are registering on behalf of a school, district, or other organization, you represent that you have the authority to bind that organization to these Terms.

    You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of any credentials associated with your registration.

  2. Acceptable Use

    You agree not to:

    1. Use the Site or Event in violation of any applicable law or regulation;
    2. Interfere with, disrupt, or attempt to gain unauthorized access to the Site, our systems, or any user accounts;
    3. Scrape, harvest, or otherwise collect information from the Site by automated means without our written permission;
    4. Submit false, misleading, or fraudulent registration or payment information;
    5. Resell, scalp, or transfer Event tickets except as expressly permitted in §5; or
    6. Use the Site to upload or transmit any unlawful, harassing, infringing, or malicious content.
  3. Intellectual Property

    The Site and all content on it (including text, graphics, logos, images, video, the Vibe Shift name and marks, and the EduProtocols name and marks) are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes consistent with these Terms.

    Speakers retain rights to their session content. By presenting at the Event, speakers grant us a non-exclusive license to record, photograph, and distribute their session for promotional and archival purposes.

  4. Tickets, Pricing & Payment

    Ticket prices, tiers, and availability are listed on the Site and may change at any time before purchase. The price you pay is the price in effect when your order is completed. Sales tax is applied where required. We accept credit/debit card payments via our payment processor and, for districts and business offices, payment by purchase order through /po.

    Registrations paid by purchase order are not final until we receive a check or a valid PO. Seats are not held until payment or PO is confirmed.

  5. Refunds, Credits & Transfers

    Refunds are available up to 30 days prior to the Event. After September 17, 2026, we can offer a credit for a future event or let you transfer your registration to someone else — due to the commitments we make for catering and vendors. To request a refund, credit, or transfer, email chris@eduprotocols.com with your registration details.

  6. Code of Conduct & Removal

    Vibe Shift is intended to be a joyful, professional, and welcoming environment for educators. We expect attendees, speakers, sponsors, and staff to treat one another with respect. Harassment, discrimination, threatening behavior, or disruption of sessions will not be tolerated. We reserve the right to refuse entry to, or remove from the venue, any person whose conduct we determine — in our sole discretion — is inconsistent with these expectations or with the safe operation of the Event, without refund.

  7. Photography, Recording & Likeness Release

    The Event will be photographed and recorded for promotional, archival, and educational purposes. By attending, you grant us and our designees an irrevocable, royalty-free, worldwide license to use your name, voice, image, and likeness as captured at the Event in connection with promotion of Vibe Shift and EduProtocols, in any media now known or later developed. If you do not wish to be photographed, please notify staff at registration.

  8. Health & Safety; Force Majeure

    You attend the Event at your own risk and agree to comply with all venue rules and any health or safety requirements we communicate before or during the Event. We may modify the schedule, speakers, format, or venue, or postpone, shorten, or cancel the Event, in response to circumstances beyond our reasonable control — including weather, public health emergencies, governmental orders, venue unavailability, labor actions, utility failures, or other force-majeure events. If we cancel the Event for such reasons, our liability is limited as described in §10.

  9. Third-Party Links & Services

    The Site and the Event may include links to or integrations with third-party websites and services (e.g., ticketing, payment processing, form embeds, sponsor sites). We do not control these third parties and are not responsible for their content, policies, or practices. Your use of any third-party service is governed by that party's terms and privacy policy.

  10. Disclaimers & Limitation of Liability

    The Site and the Event are provided "as is" and "as available," without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted or error-free. We do not warrant that any specific speaker, session, or program element will be present at the Event.

    To the fullest extent permitted by law, in no event will we, our affiliates, or our officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Site, the Event, or these Terms — whether based on contract, tort, strict liability, or any other theory.

    Our total aggregate liability arising out of or relating to the Site, the Event, or these Terms is limited to the amount you actually paid us for your registration (or, if you have not paid us anything, US $100). Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

  11. Indemnification

    You agree to defend, indemnify, and hold harmless Learning Innovation Systems LLC and our affiliates, officers, directors, employees, agents, sponsors, and venue partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your attendance at the Event, your violation of these Terms, or your violation of any third party's rights.

  12. Termination

    We may suspend or terminate your access to the Site or your registration for the Event at any time if we believe you have violated these Terms, applicable law, or our Code of Conduct (§6). Termination for cause does not entitle you to a refund. Sections that by their nature should survive termination — including §3, §10, §11, §13, and §14 — will survive.

  13. Governing Law & Disputes

    These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms, the Site, or the Event will be the state and federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.

  14. Changes to These Terms

    We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Material changes will take effect when posted, and your continued use of the Site or attendance at the Event after a change constitutes acceptance of the revised Terms.
